HannawayCA is delighted to have advised NI Top 100 Company, BA Components, on securing a multi-million investment from H2 Equity Partners
Brian McCracken, Managing Director of BA Components, one of the UK’s leading manufacturers of kitchen and bedroom doors and associated furniture, commented “There were a lot of moving parts and complexities to the transaction and HannawayCA was able to advise us on all the tax, corporate finance, accounting and property issues; for a medium-sized firm, I was delighted with its depth of expertise”.
BA was established in 1990 by twin brothers Brian and Kieran McCracken. Headquartered in Northern Ireland, the business has three well-invested manufacturing sites; one in Cookstown Northern Ireland, one in Doncaster South Yorkshire, and BA Clic Components in Rotherham, established in 2016 to manufacture their tool-less assembly ClicBox kitchen and furniture cabinets.
BA has grown strongly in recent years by investing in people and processes, resulting in strong leadership, high quality products, a broad product range and strong customer service, winning many industry and business awards along the way. BA has featured prominently in the Belfast Telegraph top 100 N.I. Companies for the last three years. In the year to 31 March 2017, its EBITDA was circa £7million.
With some of the most advanced manufacturing facilities in the UK and Ireland, BA has substantially expanded into new market areas, both in the UK and across the globe, and currently exports to more than twenty countries.
BA is pleased to announce this significant new investment from H2 Equity Partners, which will support BA’s strategy of continued investment in its manufacturing sites and bringing new product ranges to market and being able to serve all parts of the market. The aim is to become the UK’s clear number one specialist door and furniture component manufacturer, and a one-stop-shop for mid-to-high-end doors and tool-free cabinets.
H2 is a leading independent investment firm founded in 1991 making investments in medium sized companies with significant growth potential. The H2 team has built an exceptional track record of acquiring, strengthening and growing fundamentally attractive businesses across all sectors, which then benefit from the extensive international operating experience of the H2 team.
Brian McCracken, Managing Director of BA said, “We chose to partner with H2 based on their good knowledge of our sector and excellent track record built up over twenty-six years of working with family-owned businesses. Both Kieran and myself will remain actively involved in the business and we look forward to working with H2 to build on the core drivers of BA’s success which are a broad range of high quality products and excellent customer service.”
Simon Gilbert and Cathal Turley of H2 will be joining the Board of BA. Simon Gilbert, Partner at H2, said, “This is an excellent opportunity for H2, investing in a market leading business alongside the founders. We have been very impressed with the quality of the business and their focus on the customer, and look forward to continuing BA’s success.”
Day to day operations at BA will be business as usual. Brian and Kieran will remain as significant shareholders and will work closely with H2 to consolidate BA’s market position and deliver the ambitious growth plan.
Brian and Kieran would like to thank Invest N.I. for their help and support to grow the business over the years as well as Sheffield City Region Combined Authority for support in the establishment of BA Clic at Rotherham, and to the financial advisory and legal teams at HannawayCA and Mills Selig in Belfast for the manner in which they have effectively and efficiently guided BA through this process.
